PLEASE READ this license carefully before using the software. By using the software, you are agreeing to be bound by the terms of this license.
PROPRIETARY NOTICE. The application, demonstration, system and other software accompanying this License, whether on disk, in read-only memory, CD-ROM, or any other medium (hereafter, the "Software"), and the documentation that came with it are licensed to you by QuadraStar Technologies, LLC. Although you may own the media by which the Software is recorded, QuadraStar Technologies, LLC retains title to the Software and the documentation. All rights in the Software, including copyright, patent, trademark, trade secret, moral rights, and any other intellectual property rights belong to QuadraStar Technologies, LLC. This License allows you to use the Software and its related documentation, and to make a single copy of the Software in a machine readable form for personal backup use only. If such a backup is made, you must reproduce on the copy QuadraStar Technologies, LLC Proprietary Notice and any other proprietary notices that existed in the original Software and documentation. If you wish, you may transfer all of your rights and interest under this License to a third party (by turning over your original Software, as well as your backup copy, and the documentation), but only if that party reads this License and agrees to abide by its terms, limitations, and conditions.
LIMITATIONS. This Software contains material that is subject to copyright restrictions, trade secret restrictions, and other proprietary material. To protect that material, you may not (either yourself, or with the aid of someone else) decompile, reverse engineer, disassemble, or otherwise reduce the Software to human readable form. You may not modify, rent, loan, network, distribute, or create derivative works based upon the Software, or any part. You may not transmit the Software over any network, on-line service, or between any devices. However, you may use the Software to operate on or in conjunction with other software or files which may themselves be so transmitted. Every effort has been made to supply complete and accurate information. QuadraStar Technologies, LLC assumes no responsibility for its use, nor for any infringement of the intellectual property rights of third parties which would result from such use.
SOLD "AS IS". The Software is licensed to you on an "as is" basis. QuadraStar Technologies, LLC makes no warranties, expressed or implied, including without limitation the implied warranty of merchantability and fitness for a particular purpose, regarding the Software and documentation for the Software, or its use and operation alone or in combination with any other application software, QuadraStar Technologies, LLC does not warrant that the functions contained in the Software will meet any requirements or needs you may have, or that the Software will operate error free, or in an uninterrupted fashion, or that any defects or errors in the Software will be corrected. You, and any transferees, bear the whole risk as to the results and performance of the Software. Should the Software prove defective, you, and not QuadraStar, will bear the whole cost of any repairs, service, consulting, and correction measures. However, some jurisdictions do not allow the waiver or exclusion of implied warranties. Neither QuadraStar, nor any of its agents, employees, representatives, or any other person is entitled to make any promises, warranties, or representations regarding the Software, or as to the results and performance of the Software.
LIMITATION OF DAMAGES. In no event shall QuadraStar Technologies, LLC be liable for special, incidental or consequential damages as a result of the use, sale, distribution, or application of the Software, by you, the publisher, or any third party, whether by way of a legal theory or contract, tort (including negligence, product liability, or any other, even if QuadraStar Technologies, LLC or its representative is notified of the possibility of such damages). Not withstanding the above, in no event shall QuadraStar Technologies, LLC\'s liability under this agreement exceed the fee paid to QuadraStar Technologies, LLC for the Software.
EXPORT RESTRICTIONS. This agreement is expressly made subject to any laws, regulations, orders, or other restrictions on the export from the United States of America of the software, application software or information about such software or application software which may be imposed from time to time by the government of the United States of America. Not withstanding anything in this agreement to the contrary, you may not export, re-export, directly or indirectly, any software or application software or information pertaining thereto to any country for which the United States government, or any agency thereof, requires an export license or other governmental approval at the time of export or re-export without first obtaining the required license or approval.
CHOICE OF LAW. This Agreement shall be governed and construed according to the laws of the State of Virginia, USA as applied to agreements entered into and to be performed entirely within the State of Virginia, between Virginia residents. The parties agree that the United Nations Convention on Contracts For the International Sale of Goods shall not apply to this Agreement.
ENTIRE AGREEMENT. This Agreement (along with any Exhibits attached) shall constitute the entire Agreement between the parties regarding the Distribution of The Software. Any waiver or modification of this Agreement, or any part, shall only be effective if and when it has been reduced to writing and signed by both parties.
SEVERABILITY. If any part of this Agreement shall be found invalid or unenforceable by a court of competent jurisdiction, the remainder of this Agreement shall be interpreted so as to reasonably effect the intention of the parties. Any limitation of liability, disclaimer of warranties, or exclusion of damages expressed in the Agreement are expressly intended to exist independently from, and to be several from, the Agreement.
TERMINATION. This License shall remain until terminated by the actions of either party. You may terminate this License at any time simply by destroying all copies of the Software, as well as all related documentation. This License terminates automatically if you fail to comply by its terms. In that case, you must destroy all copies of the Software in your possession, and any related documentation.
GOVERNMENT USERS. Any license to The Software and Documentation or any Application Software acquired under a US Government contract is subject to restrictions as set forth in subparagraphs (b) (3) (ii) and © (1) (ii) for Department of Defense contracts and as set forth in 252.277-19 (a)-(d) for civilian agency contracts. All technical data relating to the Software or any Application Software is subject to limited rights so long as this Agreement is in effect.
